Terms of Service

The terms governing use of dyrection.io and the general framework for our software development services. Last updated 10 September 2026.

These Terms govern the use of the dyrection.io website and set out the general framework under which DYRECTION LLC, a Delaware limited liability company (“DYRECTION”, “we”, “us”), provides software development services. Specific engagements are governed by an individual agreement or statement of work, which prevails over these Terms in case of conflict. Last updated 10 September 2026.

1. About us

DYRECTION LLC, a Delaware limited liability company, 8 The Green, STE A, Dover, DE 19901, USA. Email: right@dyrection.io. DYRECTION LLC (Delaware) designs and builds web, mobile and financial software for clients and develops its own software products.

2. Website use

You may use dyrection.io for lawful purposes only. You may not attempt to gain unauthorised access to the site, interfere with its operation, or reproduce its content except for personal, non-commercial reference. All content, trademarks and logos are the property of DYRECTION LLC or its licensors.

3. Services

We provide software design, development, integration, maintenance and related consulting services. The scope, timeline, fees and acceptance criteria of each engagement are defined in a written proposal, statement of work or master services agreement signed by both parties. Nothing on this website constitutes a binding offer.

4. Nature of our work

DYRECTION LLC (Delaware) is a technology provider. When we build financial software — such as wallets, account systems or payment functionality — we deliver software to our clients. We do not operate a payment service, do not hold customer funds and do not provide financial, investment, legal or tax advice. Clients are responsible for operating the software in compliance with the laws and licences applicable to them.

5. Client responsibilities

Clients agree to provide timely access to the information, personnel, systems and approvals reasonably required to deliver the work, and to ensure that materials supplied to us do not infringe third-party rights.

6. Fees and payment

Fees are set out in the applicable proposal or agreement and are invoiced as agreed. Unless otherwise stated, invoices are payable within 14 days. We may suspend work on overdue accounts after written notice.

7. Intellectual property

Unless the individual agreement provides otherwise, deliverables created specifically for a client are assigned to the client upon full payment. We retain ownership of pre-existing tools, libraries, frameworks and know-how, and grant the client a perpetual, non-exclusive licence to use them as part of the deliverables.

8. Confidentiality

Each party will keep the other party’s non-public information confidential and use it only for the purposes of the engagement. This obligation survives the end of the engagement for three years, or indefinitely for trade secrets.

9. Warranties and liability

We deliver our services with professional skill and care and will correct defects reported during the agreed warranty period. Except as expressly stated, services are provided without further warranties. To the extent permitted by law, our aggregate liability under an engagement is limited to the fees paid for that engagement in the twelve months preceding the claim, and we are not liable for indirect or consequential losses.

10. Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice. Fees for work performed up to termination remain payable.

11. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware have exclusive jurisdiction, unless an individual agreement provides otherwise.

12. Changes

We may update these Terms from time to time. The current version is published at dyrection.io/terms-of-service. Continued use of the website after changes constitutes acceptance of the updated Terms.
